1. Introduction

Welcome to Board Paper Scraper (“we,” “our,” or “us”), operated by JRER Tech Holdings Ltd (Company No. 17026241), registered at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. These Terms of Service (“Terms”) govern your use of our service, software, website, and associated services (collectively, the “Service”). By accessing or using our Service, you agree to these Terms. Please read them carefully.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description (“Beta” Status)

Board Paper Scraper is a sales intelligence and analysis tool that utilises Artificial Intelligence to process documents (such as NHS Board Papers).

  • You acknowledge that the Service is in a “Beta” / “Pilot” phase. It is experimental, unfinished, and may contain bugs, errors, or cause data loss.
  • The Service is provided “AS IS” and we make no guarantees regarding uptime, accuracy, or data preservation.

3. User Eligibility and Registration

  • You must be at least 18 years old and capable of forming a legally binding contract to use our Service.
  • You must provide accurate, current, and complete information during the registration process.
  • You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activities that occur under your account.

4. Artificial Intelligence & Data Accuracy

The Service utilises Google Gemini to analyse publicly available NHS board papers and user-provided content, and to generate summaries, insights, and sales intelligence. Document content and your prompts are sent to Google's Gemini API for processing.

Data handling:

  • Under Google's API terms, your data is not used to train or improve Google's AI models
  • We do not use any other AI providers
  • See our Privacy Policy for full details on sub-processors and data handling

By using the Service, you acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, hallucinated, or misleading.
  • The Service does NOT provide legal, medical, financial, or strategic advice.
  • You must independently verify all outputs against the original source documents before taking any business action (e.g., submitting a bid or contacting a prospect).

We are not responsible for lost bids, missed revenue, reputational damage, or failed strategies resulting from your reliance on the Service.

5. Data Collection and Privacy

The Service primarily processes publicly available NHS board papers and related documents. Additionally, you may provide content such as company descriptions, product information, or custom prompts to tailor the analysis.

  • We collect and process personal data in accordance with our Privacy Policy.
  • You warrant that you have the legal right to upload any documents or data into the Software.
  • You agree NOT to upload confidential, personally identifiable information (PII), or sensitive data (e.g., patient health records) unless explicitly authorised and in compliance with GDPR/UK Data Protection Act 2018.

6. Service Limitations and Modifications

We reserve the right to:

  • Modify or discontinue any aspect of the Service at any time.
  • Update the AI system, models, and responses without notice.
  • Limit or revoke access to the Service for any reason.

We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

7. Intellectual Property

  • All intellectual property rights in the Service, including but not limited to AI algorithms, source code, software, analytics tools, and interface designs, remain our exclusive property.
  • You retain ownership of the specific documents you upload, but you grant us a worldwide, royalty-free licence to process, analyse, and store these documents solely for the purpose of providing the Service to you.
  • You are strictly prohibited from reverse engineering, decompiling, or creating derivative works based on the Software.

8. User Conduct

Users must not:

  • Attempt to circumvent or manipulate the AI system.
  • Use the Service for any unlawful purpose or to facilitate illegal acts.
  • Harass, abuse, or harm others through the Service.
  • Interfere with the proper operation of the Service or impose an unreasonable load on our infrastructure.
  • Use the Service for critical business operations where failure could result in significant financial loss or physical harm.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available”.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be continuous, uninterrupted, secure, or error-free.

10. Limitation of Liability

Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud.

Subject to the above, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total aggregate liability arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless us (the developers, owners, and affiliates) from and against any claims, damages, liabilities, costs, losses, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service.
  • Your violation of these Terms.
  • Any third-party claim regarding data you uploaded (e.g., copyright infringement or breach of confidentiality).

12. Modifications to Terms

We may modify these Terms at any time.

Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

13. Termination

We reserve the right to terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
